1. Agreement to Terms

By accessing, browsing, or using the Jaitragems website located at www.jaitragems.com (the "Website"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy, Shipping Policy, and Return Policy, which are incorporated herein by reference. If you do not agree with any part of these Terms, you must discontinue use of the Website immediately.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Jaitragems LLC ("Jaitragems," "we," "us," or "our"), a company registered in the State of New York, United States. We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Website. Your continued use of the Website following any modifications constitutes your acceptance of the revised Terms.

You represent that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using the Website on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Jaitragems grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Website for personal, non-commercial purposes in accordance with these Terms.

To access certain features of the Website, including placing orders, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. Jaitragems reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or fraudulent.

However, due to the unique nature of natural diamonds and gemstones, slight variations in color, clarity, and appearance may exist between the product shown online and the actual item received.

3.1 Diamond Certification

All diamonds sold by Jaitragems are accompanied by an independent grading report from a recognized gemological laboratory, such as the Gemological Institute of America (GIA) or the International Gemological Institute (IGI). These certificates verify the diamond's carat weight, cut, color, clarity, and other characteristics. The certification details provided on the Website are sourced directly from these laboratory reports and are considered authoritative.

3.2 Product Availability

All products are subject to availability. Due to the rare and unique nature of our diamond inventory, certain items may be one-of-a-kind. We reserve the right to discontinue any product at any time without prior notice. If a product you have ordered becomes unavailable, we will notify you promptly and offer a full refund or suggest a comparable alternative.

3.3 Custom Orders

Jaitragems offers custom jewelry design services. Custom orders are subject to separate terms, including specific timelines, design approval processes, and non-refundable deposits. Once a custom design has been approved and production has commenced, the order cannot be cancelled. Detailed terms for custom orders will be provided at the time of consultation.

4. Pricing and Payment

All prices displayed on the Website are in United States Dollars (USD) unless otherwise indicated. Prices are subject to change without notice, though any price changes will not affect orders that have already been confirmed.

4.1 Price Accuracy

While we take every precaution to ensure pricing accuracy, errors may occasionally occur. In the event that a product is listed at an incorrect price due to a typographical error, system malfunction, or other reasons, Jaitragems reserves the right to refuse or cancel any orders placed at the incorrect price, whether or not the order has been confirmed and payment has been charged. If payment has already been processed, we will issue a full refund to the original payment method.

4.2 Taxes and Duties

Prices displayed on the Website may not include applicable sales tax, value-added tax (VAT), goods and services tax (GST), or import duties. You are responsible for any taxes, duties, or levies imposed by your local jurisdiction. For domestic U.S. orders, applicable sales tax will be calculated and added at checkout based on your shipping address.

4.3 Payment Methods

We accept payment via major credit cards (Visa, MasterCard, American Express, Discover), debit cards, PayPal, bank wire transfers, and financing through our approved partners. All payments are processed through PCI DSS-compliant payment gateways. For orders exceeding USD 10,000, we may require additional identity verification or payment via bank wire transfer for security purposes.

4.4 Currency Conversion

If you are making a purchase from outside the United States, your bank or credit card provider may apply currency conversion fees. These fees are determined by your financial institution and are beyond Jaitragems' control. The exchange rate applied will be at the discretion of your payment provider at the time of the transaction.

5. Orders and Fulfillment

Placing an order on the Website constitutes an offer to purchase the selected products. All orders are subject to acceptance by Jaitragems. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases of suspected fraud, pricing errors, or product unavailability.

5.1 Order Confirmation

Upon placing an order, you will receive an automated email confirmation acknowledging receipt of your order. This confirmation does not constitute acceptance of your order. Acceptance occurs when we send a shipping confirmation email with tracking information. Until that point, we reserve the right to decline your order for any reason.

5.2 Order Verification

For security and fraud prevention, particularly for high-value orders, Jaitragems may contact you to verify order details, confirm your identity, or validate your payment information. Orders that cannot be verified may be delayed or cancelled. We may require additional documentation such as a government-issued photo ID or proof of address for orders exceeding USD 5,000.

5.3 Order Cancellation

You may cancel your order within 24 hours of placement, provided the order has not yet been shipped. To request a cancellation, contact our customer service team at orders@jaitragems.com or call +919898564220. Orders that have already been shipped cannot be cancelled and must follow our Return Policy procedures.

6. Intellectual Property

All content on the Jaitragems Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the overall design and arrangement thereof, is the exclusive property of Jaitragems or its content suppliers and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.

6.1 Trademarks

The Jaitragems name, logo, taglines, and all related names, logos, product and service names, designs, and slogans are trademarks of Jaitragems LLC. You may not use these marks without our prior written consent. All other names, logos, product and service names, designs, and slogans displayed on the Website are the trademarks of their respective owners.

6.2 Copyright

All product photographs, diamond images, educational content, blog articles, and marketing materials on this Website are original works owned by Jaitragems and are protected under copyright law. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Website without our express written authorization. Limited reproduction for personal, non-commercial use (such as printing a product page for reference) is permitted, provided all copyright notices are retained.

6.3 DMCA Notice

If you believe that any content on our Website infringes upon your copyright, please send a written notice to our designated DMCA agent at legal@jaitragems.com, including a description of the copyrighted work, the location of the infringing material on our Website, your contact information, and a statement of good faith belief that the use is not authorized.

7. Limitation of Liability

You agree to indemnify, defend, and hold harmless Jaitragems and its officers, directors, employees, agents, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Website, your violation of these Terms, or your violation of any rights of a third party.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in New York County, New York, and you hereby consent to the personal jurisdiction and venue of such courts.

8.1 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be submitted to mediation in accordance with the American Arbitration Association (AAA) Commercial Mediation Procedures. If the dispute is not resolved through mediation within 60 days, it shall be settled by binding arbitration administered by the AAA under its Commercial Arbitration Rules. The arbitration shall take place in New York, New York, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

8.2 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Jaitragems each waive any right to a jury trial.

8.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

8.4 Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, and Return Policy, constitute the entire agreement between you and Jaitragems regarding your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
